Terms of Service

Effective date: May 1, 2026

These Terms of Service ("Terms") govern your access to and use of the AI Underwriter platform ("Service") operated by DataSuperior LLC ("DataSuperior", "we", "us", or "our") at aiunderwriter.datasuperior.ai. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

AI Underwriter is a commercial real estate underwriting platform that provides pro forma modeling, financial analysis, AI-assisted deal analysis, document management, and investor reporting tools for Multifamily, Self Storage, RV Park, and other commercial real estate asset types.

2. Accounts and Eligibility

  • You must be at least 18 years old and capable of forming a binding contract to use the Service.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You agree to provide accurate and complete information when creating your account and to keep it up to date.
  • You may not share your account with others or allow multiple individuals to use a single account, except as permitted by a Team plan.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscription Plans and Billing

  • Free trial. New accounts receive a 7-day free trial of the Pro plan features. No credit card is required to start the trial. At the end of the trial period, the account reverts to the Starter plan unless you subscribe to a paid plan.
  • Starter plan. The Starter plan is free and includes up to 3 active deals and 10 AI analyses per month. Features available on the Starter plan may change over time.
  • Paid plans. Pro and Team plans are billed monthly or annually as selected at checkout. All payments are processed by Stripe, Inc. Prices are displayed in USD.
  • Cancellation. You may cancel your subscription at any time from the Billing section of Settings. Cancellation takes effect at the end of the current billing period; you will not receive a prorated refund for the remaining period.
  • Refunds. We do not offer refunds except as required by applicable law or at our sole discretion in cases of billing error.
  • Price changes. We reserve the right to change subscription prices. We will provide at least 30 days' notice of any price increase to active subscribers.
  • Beta pricing. Current pricing is promotional beta pricing and may change when the product exits beta. Existing subscribers will be notified in advance of any price changes.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Upload content that infringes the intellectual property rights of any third party.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use automated scripts, bots, or scrapers to access the Service at a rate that exceeds normal human usage.
  • Resell, sublicense, or otherwise commercialize the Service without our prior written consent.
  • Upload malicious code, viruses, or any software intended to damage or disrupt the Service.
  • Use the AI analysis outputs to provide unlicensed investment, legal, or financial advisory services to third parties.

5. Your Content and Data

  • Ownership. You retain full ownership of all deal data, financial assumptions, and documents you upload or create within the Service ("Your Content").
  • License to us. By using the Service, you grant DataSuperior a limited, non-exclusive license to process, store, and display Your Content solely as necessary to provide the Service to you.
  • Responsibility. You are solely responsible for the accuracy and legality of Your Content. We do not verify the accuracy of financial data or projections you enter.
  • Export. You may export your deal data at any time using the Excel export feature. We recommend maintaining your own backups of important data.

6. AI Analysis Disclaimer

The AI-generated analyses, market snapshots, deal memos, investment scores, and recommendations provided by the Service ("AI Outputs") are for informational and decision-support purposes only.

  • AI Outputs do not constitute financial, investment, legal, tax, or real estate advice.
  • AI Outputs are generated using large language models and may contain errors, omissions, or inaccuracies. You should independently verify all AI Outputs before relying on them.
  • Past performance of any market, asset type, or investment strategy referenced in AI Outputs is not indicative of future results.
  • DataSuperior is not a licensed investment advisor, broker-dealer, real estate broker, or financial institution.
  • You assume all risk associated with investment decisions made using the Service.

7. Intellectual Property

The Service, including its software, design, user interface, calculations engine, prompt templates, and all associated intellectual property, is owned by DataSuperior LLC and protected by applicable copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any rights in or to the Service except the limited right to use it in accordance with these Terms.

8. Third-Party Services

The Service integrates with third-party services including Stripe (payments), Resend (email), Microsoft Azure (cloud infrastructure and AI), and OpenAI (AI analysis). Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Availability and Modifications

  • We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
  • We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
  • We may update these Terms at any time. We will notify you of material changes by updating the "Last updated" date and, for material changes, by sending an email to your registered address. Continued use of the Service after changes constitutes acceptance.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DATASUPERIOR DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE.

DATASUPERIOR DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY FINANCIAL CALCULATIONS, AI OUTPUTS, MARKET DATA, OR OTHER INFORMATION PROVIDED THROUGH THE SERVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DATASUPERIOR LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless DataSuperior LLC and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms.

13. Termination

  • You may terminate your account at any time by contacting us at support@datasuperior.com.
  • We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a security risk to the Service or other users.
  • Upon termination, your right to access the Service ceases immediately. We will retain Your Content for 90 days after termination, after which it will be permanently deleted.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration in Dallas County, Texas, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations.

15. General

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and DataSuperior regarding the Service.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
  • Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor in connection with a merger, acquisition, or sale of assets.
